As busy CFO’s who had led many listed transactions over our 20 year+ careers, we kept coming across the same problems:

Time - Listed transactions place a huge drain on the CFO
Information - There is a lack of practical resources to support listed CFOs; Materials from banks, lawyers and accountants are pretty generic
Judgement – the CFO has to provide all the inputs and assumptions to the models, and the advisors can’t help
Frustrated advisors – we had met a great network of advisors who were as frustrated as we were with how they were limited in how they could help

So we decided to set up the CFO team – to provide CFO’s with practical information, and access to our network of trusted freelancers who are willing to roll-up their sleeves and get stuck in!

We know what works in practice:
Keep the working capital models very simple - the more assumptions and calculations there are, the longer it will take for the Reporting Accountants to review
If raising money, make sure there is headroom: you may not raise as much as you hoped
Working capital mechanics are simple - set estimated and target working capital, and then measure actual on the day of completion
As Purchaser argue for GAAP over-rides, and for a Seller argue for established practice
The FPPP needs to cover all the main areas
